Terms of Use

Last updated: October 5, 2026

Português · English · Español. If the versions differ, the Portuguese version prevails.

These Terms of Use govern the subscription to and use of the aiGenda platform by businesses and professionals that work by appointment, in any line of business and in any country (the "Customer"). By creating an account, subscribing to or using aiGenda, on any plan, including the Free plan, the Customer agrees to these terms.

In these terms, the "end customer" is the person who books with the Customer, whatever name the Customer gives that person in the dashboard (client, patient, student, etc.).

1. What aiGenda is

aiGenda is a booking platform. Depending on the plan, it offers the Customer a public page, where end customers see the Customer's information and book on their own, a calendar in the dashboard, automatic reminders, and an artificial intelligence assistant that talks to end customers on the Customer's WhatsApp, checks open times and confirms, reschedules or cancels appointments. What each plan includes is shown in the dashboard, in the plan selection.

2. Account and Customer responsibilities

  • The Customer is responsible for the accuracy of the data it registers (business, professionals, services and hours);
  • The Customer is solely responsible for having a lawful basis, under the law that applies to it, for its end customers to exchange messages with the aiGenda assistant on the Customer's WhatsApp and to receive the messages the Customer configures;
  • The Customer is responsible for keeping access to its account secure (password and, when enabled, two-step verification) and for any activity carried out with its credentials;
  • The Customer is responsible for the content of its services and for its booking decisions. aiGenda automates the booking logistics; it does not provide the Customer's service (for example, a health service) nor replace professional judgment;
  • The Customer owns the artificial intelligence account it connects to aiGenda (currently, OpenAI) and undertakes to keep turned off, in that account, at least in the project aiGenda creates in it (named "aiGenda" followed by the Customer's name), any sharing of data with the provider to train or improve its models (at OpenAI, the sharing options under Data controls → Sharing). Conversations may contain sensitive data, such as health data. If the Customer turns that sharing on, the decision and the responsibility for it are the Customer's alone.

3. Plans, billing and cancellation

Plans. aiGenda has a Free plan and paid monthly subscription plans. The prices, limits (such as the number of bookings per month) and features of each plan are shown to the Customer in the dashboard, in the plan selection, before it subscribes or changes plans (the "price list"). The currency follows the country the Customer chose at sign-up. These terms do not repeat prices: the price list at the time of the subscription or change applies.

Billing. A paid plan is charged immediately, when the card is approved, and then every month on the same date. There is no free trial when subscribing on the website. aiGenda may, at its discretion, grant a Customer a trial of any plan, with the end date informed to the Customer; when the trial ends, the billing rule in this paragraph applies. When the price list includes a trial of the artificial intelligence assistant within a plan, each account may use it only once.

Upgrading. Takes effect immediately. The Customer pays, at that moment, only the prorated difference between the two plans until the next billing date; from then on, it pays the full price of the new plan.

Downgrading. Takes effect on the next billing date. Until then, the Customer keeps the plan already paid for, and the difference is not refunded. Nothing is deleted when downgrading: whatever exceeds the new plan's limit is kept, read-only, until the Customer adjusts it, and features exclusive to the higher plan are turned off.

Add-ons. Add-ons purchased separately, when the price list offers them, follow the same rule: adding or increasing takes effect immediately, with a prorated charge until the next billing date; removing or reducing takes effect on the next billing date, with no prorated refund.

Booking limit. On plans with a monthly booking limit, the Customer is warned as it approaches the limit. When the limit is reached, the public page stops accepting new bookings until the month turns (or until the Customer upgrades) and tells end customers to contact the Customer directly. Existing bookings are not affected.

Cancellation. The Customer may cancel a paid plan at any time, in the dashboard. Cancellation stops billing from the next cycle; access to the paid plan continues until the end of the period already paid, with no prorated refund, unless agreed otherwise in writing. This also applies right after the first charge. If the Customer asks for the account to be deleted while a subscription is active, the subscription is cancelled and the account is deleted immediately: access ends at that moment and the remainder of the paid period is lost, without refund. The Customer is warned of this before confirming.

Free plan. The Free plan has no charges and no card on file. aiGenda may change the limits and features of the Free plan with at least 30 days' notice; existing bookings are not affected. On the public page, on every plan, the footer shows an aiGenda call-to-action linking to sign-up.

Unused free account. If a Free plan account goes 12 months with no login to the dashboard and no new booking, aiGenda notifies the account owner by e-mail and, for businesses in Brazil, also the account's notice number by WhatsApp (for businesses outside Brazil, by e-mail only), at least 30 days in advance and then deletes the account and its data, as described in Data deletion. Logging in before the deadline cancels the deletion.

aiGenda is a professional tool, subscribed to by the Customer for use in its own business (a business-to-business relationship, not a consumer one). Consumer withdrawal rights therefore do not apply (in Brazil, art. 49 of the Consumer Protection Code), except for any right that the law of the Customer's country grants and that cannot be waived by contract.

4. Acceptable use

aiGenda may not be used for:

  • Sending unsolicited bulk messages (spam) to people who have no relationship with the Customer;
  • Any unlawful purpose or one that infringes the rights of others;
  • Trying to access, without authorization, data of other Customers of the platform.

aiGenda may suspend accounts that breach this acceptable use, especially because of the risk of restrictions on the WhatsApp channel shared by all Customers on the same infrastructure.

5. Content sent by the Customer and by end customers

Messages, photos, audio, video and documents sent by the Customer and its end customers pass through aiGenda. That content remains the property of whoever sent it; aiGenda only stores and processes what is needed for the service to work: displaying it in the dashboard, transcribing audio and delivering the message.

The Customer is responsible for the content it sends through the platform and declares it is authorized to use it. Content that infringes the rights of others, including copyright, trademarks and image rights, is prohibited.

Public page. Each Customer has a public page at aigenda.app/<link>, open to anyone on the internet, without login. It shows what the Customer fills in for the page: name, profession, address, social media, photos (including cover and gallery), the "Information" field, services and open times, and the Customer's WhatsApp button, when provided. The Customer decides what it publishes and is solely responsible for that content: that it is true, that the Customer has the right to use the photos and the image of the people in them (with their authorization), and that it does not infringe anyone's rights or the law. aiGenda may take down, without prior notice, content that breaches these terms, and follows the removal request process below.

The page link. The link is unique: two Customers may have the same name, but not the same link. The Customer may change the link at most once every 30 days. When changed, the old link stops working immediately, with no redirect, and becomes available to any other account. It is up to the Customer to update wherever it shared the old link. aiGenda reserves words that cannot be used as links (such as system screen names, its own brand and offensive words) and may withdraw a link that may be confused with a third party's brand or name, notifying the Customer. The link is a license to use within aiGenda, not an asset of the Customer: when the account is deleted, it becomes available.

Removal requests. Anyone who believes content stored in aiGenda infringes their rights may request its removal at contato@useaigenda.com.br, identifying the content, the right infringed and a contact. aiGenda reviews the request, may remove the content or make it unavailable, and notifies the Customer. We also remove content under a court order or an order from a competent authority.

How long files are kept. Files exchanged in Live Chat are automatically deleted after 6 months. There is also a storage limit per conversation and per Customer: when it is reached, the oldest files are deleted to make room for new ones. The message log remains. It is up to the Customer to download and keep whatever it needs, including for records it must keep by law.

6. Availability, maintenance and outage credit

aiGenda depends on third-party services (WhatsApp Business Platform, artificial intelligence provider, cloud infrastructure). We make reasonable efforts to keep the service available, but do not guarantee uninterrupted availability.

Maintenance. Scheduled maintenance is preferably done at low-usage hours and announced at least 24 hours in advance through the registered contact channels, with the date and time in the time zone of the Customer's account. Urgent security fixes may be applied at any time without notice.

Outage credit. If the dashboard is unavailable for more than 8 consecutive hours on the same business day, for a cause attributable to aiGenda, the Customer is entitled to a credit of 1/30 of the monthly fee per affected day, requested within 30 days by e-mail. This credit is the sole and exclusive remedy for unavailability.

Not counted: failures, slowness, blocking or rule changes by third parties (including Meta/WhatsApp and the artificial intelligence provider), lack of credit in the Customer's own artificial intelligence account, the Customer's internet or power outages, announced scheduled maintenance, use outside these terms, and force majeure.

Support. Requests sent through the official channels are answered within 1 business day.

7. Security, incidents and liability for data breaches

Our part. aiGenda keeps technical and organizational measures to protect data: separation between Customers (one never sees another's data), encryption in transit, role-based access control, two-step verification available to all accounts, one device per session at a time, event logging, and files kept in closed storage, reachable only through temporary links.

The Customer's part. The Customer must keep strong, personal passwords, not share access between team members (each person has their own), enable two-step verification, immediately remove access of anyone who leaves the team, keep control of the WhatsApp number and of the credentials it registers (such as the artificial intelligence account), and not enter more personal data into the platform than needed.

Who is liable for an incident. Each party is liable for security incidents caused by breach of its own obligations. If the incident results from shared credentials, weak passwords, access not removed, compromised Customer equipment or use outside these terms, the Customer is liable and will reimburse aiGenda for costs, fines and expenses arising from it. aiGenda's liability, where it exists, is limited under clause 9.

Mutual notice. Once an incident affecting the Customer's data is confirmed, aiGenda notifies the Customer within 24 hours, with what is known so far, and supports the Customer in what the data protection law requires of it as controller (item 5 of the Annex). The Customer notifies aiGenda within 24 hours if it suspects unauthorized access to its account.

Roles. For end customers' data, the Customer is the controller and aiGenda is the processor, processing data only under these terms and the Customer's instructions. aiGenda's obligations as processor are in the Annex — Processing of personal data on behalf of the Customer, at the end of these terms, which is part of them. See also our Privacy Policy.

8. Intellectual property

The aiGenda platform and technology belong to Grande Homem Indústria e Comércio de Malhas e Artigos do Vestuário, CNPJ 43.253.292/0001-87 (Brazil). The "aiGenda" trademark belongs to Guilherme Chaves Barcellos (individual), licensed to the platform operator. The Customer receives only a non-exclusive, non-transferable license to use the service while the contract is in force.

Custom features. Everything aiGenda develops for the platform, including features created at the Customer's request, whether or not specifically paid for, is and remains aiGenda's property, and aiGenda may offer it to other customers. The Customer receives the same license of use over it. Under Brazilian law, the parties waive the rule of art. 4 of Law 9,609/98, which would grant the contracting party rights over software developed on commission. Exclusivity over a feature only exists if agreed in a separate written document, for a defined term and at its own price.

Suggestions. Ideas, suggestions and feedback sent by the Customer may be freely used by aiGenda to improve the product, without payment, without confidentiality obligation and without creating any right over the platform.

9. Limitation of liability

To the maximum extent permitted by law, aiGenda is not liable for indirect losses, lost profits, or decisions made based on bookings processed by the platform. aiGenda's total liability to the Customer, in any case, is limited to the amount paid by the Customer in the 3 months before the event giving rise to the claim. For unavailability, the sole remedy is the credit in clause 6.

10. Termination

Either party may end the contract at any time, with notice. aiGenda may suspend or end the Customer's access for breach of these terms or non-payment.

The WhatsApp number belongs to the Customer. The WhatsApp number and WhatsApp Business account connected to aiGenda belong to the Customer. The Customer may move them to another system at any time, including after cancelling or being suspended, at no cost and without depending on aiGenda, subject only to Meta's rules: in its Meta account, it turns off or changes the number's two-step verification and removes aiGenda's access. When connecting a new number, aiGenda sets its two-step verification, because Meta requires it, and does not keep the PIN.

11. Changes to these terms

We may update these terms from time to time. Material changes will be communicated to the Customer through the registered contact channels, as an account notice, which arrives even if the Customer has opted out of aiGenda news.

12. Governing law and venue

These terms are governed by the laws of Brazil. The courts of Petrópolis, State of Rio de Janeiro, Brazil, have jurisdiction over any dispute. For Customers outside Brazil, the mandatory rules of the law of the Customer's country also apply, including data protection rules, without prejudice to the rest of these terms.

Annex — Processing of personal data on behalf of the Customer

This annex is part of these Terms of Use. It applies to the personal data of end customers and contacts that the Customer processes through aiGenda and sets out aiGenda's obligations as processor of that data (in Brazil, Law 13,709/2018, LGPD, art. 5, VII, and art. 39; in the European Union and the United Kingdom, a "processor" under art. 28 of the GDPR and UK GDPR; elsewhere, the equivalent role under the local data protection law). The Customer is the controller. The annex applies equally on all plans, including Free, and to the data an end customer provides when booking on the public page.

Subject matter, duration and categories. Subject matter and purpose: the service in item 1. Duration: while the contract lasts, plus the deletion periods in item 6. Data subjects: the Customer's end customers and contacts. Data: name, phone number, e-mail (when provided), message content, audio, images and documents sent, and booking data (service, professional, date and time, history). Depending on the Customer's line of business, data may reveal sensitive information, such as health.

1. Purpose and instructions. aiGenda processes this data only to provide the service: talk to end customers on the Customer's WhatsApp, book, confirm, reschedule and cancel appointments, receive bookings through the public page, send the messages and reminders the Customer configures, and show all of this in the dashboard. The Customer's instructions are these terms and what it configures in the dashboard. aiGenda does not use this data for its own purposes, does not sell it and does not use it to train artificial intelligence. If aiGenda believes an instruction breaches the law, it tells the Customer.

2. Sub-processors. The Customer gives general authorization for aiGenda to use the providers listed in the Privacy Policy, under "Who we share data with", each only for its function. OpenAI is used through the Customer's own artificial intelligence account, contracted directly by the Customer, and is also subject to the contract between them. Before a new provider starts receiving end customers' data, aiGenda updates the Policy and notifies the Customer at least 15 days in advance, except for an urgent replacement to keep the service running, notified within 5 business days. If the Customer objects, it may cancel, with access until the end of the period already paid. aiGenda imposes on each provider data protection obligations compatible with this annex.

3. Confidentiality and exceptional access. No one at aiGenda reads the Customer's conversations, and no internal screen shows them. Those with technical access to the infrastructure, to keep the service running, are bound by confidentiality, including after the contract ends. If a failure reported by the Customer can only be investigated by looking at a conversation, aiGenda asks the Customer for written authorization, looks only at what is needed and records who looked, when, what and why. The Customer may request that record at any time.

4. Help with end customers' requests. The Customer answers its end customers, and most requests it handles alone in the dashboard: view and correct the record, download a person's data, delete the conversation, the contact and the person's data, and export Contacts and Clients as spreadsheets. Whatever the Customer cannot do alone, aiGenda delivers within 5 business days of a request to privacidade@useaigenda.com.br. A request from an end customer that reaches aiGenda directly is forwarded to the Customer within 2 business days, and the end customer is told about it; aiGenda does not answer the request on the Customer's behalf.

5. Security incident. aiGenda notifies the Customer within 24 hours of confirming a security incident affecting personal data processed on its behalf, with what is known so far: what happened, what data and how many people may be affected, what has been done and what remains to be investigated, and supplements this as it learns more. The period is designed to fit the deadlines the Customer has to notify the authority and the data subjects (in Brazil, 3 business days, ANPD Resolution 15/2024; in the European Union and United Kingdom, 72 hours to the authority, GDPR art. 33). aiGenda also gives the Customer what it needs for that notice, including a ready text for end customers.

6. End of contract. On the Free plan, the contract ends when the Customer deletes the account or when it is deleted for lack of use (clause 3, "Unused free account"). While the contract lasts, the Customer may export its data at any time. After it ends, the data is deleted within the periods and in the manner of the Data deletion page, which is part of this annex, subject to retention required by law. On request, aiGenda confirms the deletion in writing.

7. Accountability. If the Customer asks, aiGenda delivers, within 15 days, the updated list of providers, a description of the security measures adopted and the information the Customer needs to show it complies with the law regarding data processed by aiGenda. Accountability is in writing; an on-site audit or one by a third party only by separate agreement, at the Customer's cost.
